PRICE AM TERMS AND CONDITIONS

1. Introduction

Welcome to Price Am.

These Terms and Conditions ("Terms") govern your access to and use of the Price Am website, mobile application, and associated marketplace services ("Platform").

Price Am ("Price Am", "we", "our", or "us") operates an online marketplace that enables individuals and businesses to advertise products for sale, browse listings, contact sellers, negotiate prices where available, and arrange transactions with other users.

By accessing or using Price Am, you agree to comply with these Terms and our applicable policies, including our Privacy Policy, Cookie Policy, and any additional marketplace rules published on the Platform.

If you do not agree to these Terms, you must not use the Platform.

2. Eligibility and User Accounts

You may use Price Am only if you are legally capable of entering into an agreement and are permitted to use the Platform under applicable law.

If you are under the age of majority, you may use the Platform only where permitted by applicable law and with any parental or guardian involvement legally required.

You agree to:

Provide accurate information when creating or maintaining an account.

Keep your account information reasonably current.

Maintain the confidentiality of your login credentials.

Take reasonable steps to prevent unauthorised access to your account.

Notify us promptly if you suspect your account has been compromised.

Use the Platform only for lawful purposes.

You are responsible for activity carried out through your account, except to the extent that applicable law provides otherwise or the activity results from circumstances for which you are not legally responsible.

You must not impersonate another person, create an account using misleading information, or use another person's account without proper authorisation.

We may request additional information where reasonably necessary for security, fraud prevention, account verification, or legal compliance.

3. Nature of the Marketplace

Price Am provides a platform through which users can advertise products and connect with potential buyers and sellers.

Unless expressly stated otherwise for a particular service:

Price Am is not the seller of products advertised by users.

Price Am does not own or physically inspect every listed item.

Price Am does not guarantee the accuracy, authenticity, condition, availability, legality, or quality of every listing.

Price Am does not act as an agent for a buyer or seller merely because it provides the marketplace.

Price Am does not process, hold, or guarantee transaction funds unless a specific service expressly states otherwise.

Price Am does not directly provide or manage delivery between buyers and sellers unless a specific service expressly states otherwise.

The contract for a purchase is generally between the buyer and seller. Each party is responsible for understanding and agreeing to the terms of their transaction.

Nothing in these Terms removes any consumer rights or legal obligations that cannot lawfully be excluded.

4. Listing Products for Sale

Users may advertise eligible products that they are legally entitled to sell, subject to our marketplace rules and applicable law.

When creating a listing, you agree to:

Provide a truthful and sufficiently detailed product description.

Select an appropriate category.

Use genuine photographs that accurately represent the product.

State the product's condition accurately, including material defects or faults.

Set a price that you are authorised to offer.

Ensure that the listing complies with applicable laws and these Terms.

Update or remove a listing when the product is no longer available.

Respond to enquiries honestly and professionally.

You must not publish listings that are fraudulent, deceptive, misleading, unlawful, or intended to facilitate prohibited activity.

You must not use another person's photographs, trademarks, descriptions, or other protected material without the necessary rights or permission.

Price Am may remove, restrict, or decline a listing that violates these Terms, creates a security risk, or is otherwise considered inappropriate under our marketplace rules.

5. Product Categories and Prohibited Listings

All listings must comply with applicable law and any category-specific requirements established by Price Am.

Unless expressly authorised by applicable law and permitted by Price Am's written rules, users must not list:

Illegal goods or stolen property.

Counterfeit goods or products that infringe intellectual property rights.

Firearms, ammunition, explosives, or other prohibited weapons.

Illegal drugs or restricted substances offered unlawfully.

Products whose sale is prohibited or requires authorisation that the seller does not possess.

Fraudulent financial products, fake documents, or items intended to facilitate criminal activity.

Goods or services involving exploitation, trafficking, or other unlawful conduct.

Items that violate another person's privacy, safety, or legal rights.

Any other goods or services prohibited by applicable law or our published marketplace rules.

Price Am may establish additional restrictions for particular product categories, including electronics, personal goods, commercial products, and second-hand items.

If you are uncertain whether an item may be listed, contact support@priceam.ng before publishing it.

6. Listing Accuracy and Availability

Sellers are responsible for ensuring that their listings accurately represent the products being offered.

A listing must not:

Advertise an item that the seller does not have the right to sell.

Misrepresent the product's brand, model, condition, age, specifications, or origin.

Use a misleading price or conceal material charges.

Advertise an unavailable item as though it were available.

Contain false claims intended to deceive buyers.

Redirect users to fraudulent websites or payment channels.

Price Am may edit, hide, suspend, or remove listings that violate these requirements or applicable law.

Publication of a listing does not mean that Price Am has verified or endorsed the product or seller.

7. Buying on Price Am

Buyers should review listings carefully, ask relevant questions, and independently assess whether a product meets their needs before agreeing to purchase it.

Before making payment, buyers should take reasonable steps to:

Confirm that the item is available.

Understand the item's condition and any disclosed defects.

Confirm the final price and any additional costs.

Agree on payment and delivery or collection arrangements.

Verify the seller and the payment recipient where reasonably possible.

Inspect the item where practical, especially for high-value purchases.

Buyers must not use the Platform to commit fraud, harass sellers, submit false payment claims, or make purchases using stolen payment credentials.

A listing or conversation does not automatically constitute a completed transaction. The buyer and seller must establish their agreement, including any relevant terms, in accordance with applicable law.

8. Selling on Price Am

Sellers are responsible for managing their listings, communicating accurately, and honouring agreements they enter into with buyers.

Sellers must:

Have the legal right to sell the advertised product.

Provide accurate information and genuine product photographs.

Disclose material defects and relevant limitations.

Confirm the final price and transaction arrangements.

Verify payments independently before releasing goods.

Arrange delivery or collection as agreed with the buyer.

Comply with applicable tax, licensing, product-safety, and consumer-protection requirements.

Sellers must not submit false payment confirmations, demand fraudulent fees, misrepresent their identity, or engage in deceptive practices.

If a product becomes unavailable, the seller should update or remove the listing promptly.

9. Prices and Negotiations

Sellers are responsible for setting and maintaining their asking prices.

Where negotiation features are available, buyers and sellers may discuss prices and make or accept offers.

Unless the parties expressly agree otherwise, an asking price is not a guarantee that the item will remain available or that a transaction has been completed.

Users must negotiate honestly and must not manipulate listings, submit fraudulent offers, or engage in deceptive pricing practices.

Any final agreement on the purchase price and associated conditions should be clearly communicated between the parties.

10. Communication Between Users

Price Am may provide communication features that allow users to ask questions about listings and discuss potential transactions.

Users agree to:

Communicate respectfully and lawfully.

Keep communications relevant to the listing or transaction.

Avoid harassment, threats, discrimination, and abusive behaviour.

Avoid unsolicited spam and deceptive promotional messages.

Refrain from requesting unnecessary sensitive personal information.

Avoid sharing passwords, PINs, OTPs, or confidential financial credentials.

Respect any restrictions on sharing contact details or external links that apply to the Platform.

Price Am may review or investigate communications where permitted by law and reasonably necessary to address reports, enforce our policies, maintain security, or comply with legal obligations.

Users should not assume that communications through the Platform are private from authorised moderation or security processes.

11. Payments and Financial Transactions

Unless Price Am expressly introduces a payment service and publishes separate terms for it, payments are arranged directly between buyers and sellers.

Price Am does not guarantee that a buyer will pay, that a seller will deliver an item, or that a payment can be recovered if a transaction goes wrong.

Users are responsible for verifying payment details and choosing suitable payment methods.

Buyers should:

Confirm the recipient before transferring money.

Avoid paying solely on the basis of urgency or pressure.

Verify payment instructions through a reliable channel.

Be cautious of requests for unexpected fees or advance payments to unverified sellers.

Sellers should:

Confirm that funds have actually arrived in their own account or payment service.

Never rely solely on screenshots, messages, or receipts provided by a buyer.

Avoid releasing goods before the agreed payment conditions are satisfied.

Be cautious of overpayment scams and requests to refund money that was never received.

Users must not use Price Am to facilitate money laundering, fraud, unauthorised financial activity, or other unlawful transactions.

Any future payment, escrow, or financial service introduced by Price Am may be subject to additional terms and applicable regulatory requirements.

12. Delivery and Collection

Unless a specific service expressly provides otherwise, buyers and sellers are responsible for agreeing on and arranging delivery or collection.

Users should agree on:

The delivery or collection method.

The location and expected timing.

Who will pay any delivery charges.

How the item will be handed over.

What happens if the arrangement changes or delivery fails.

Users should take reasonable precautions when arranging meetings or deliveries, particularly for valuable products.

Price Am is not responsible for independently arranged delivery services or the conduct of third-party delivery providers, except to the extent required by applicable law or expressly agreed by Price Am.

13. Safety, Fraud Prevention, and Reporting

Users must not engage in fraud, impersonation, account abuse, harassment, or other conduct that threatens the safety or integrity of the marketplace.

You should report suspicious listings, suspected scams, security vulnerabilities, or other serious violations through any reporting features available on Price Am or by contacting the appropriate support address.

Price Am may investigate reports and take appropriate measures, including removing listings, restricting communications, suspending accounts, preserving relevant records, or referring matters to appropriate authorities where lawful and necessary.

Although we may implement safeguards and investigate reported misconduct, we cannot guarantee that every fraudulent listing, misleading statement, or harmful interaction will be detected or prevented.

Users should independently assess risks and exercise caution when dealing with others.

14. Account Suspension and Termination

Price Am may take appropriate action against an account or listing if we reasonably believe that:

These Terms or another applicable policy have been violated.

A user has engaged in fraud, impersonation, or other unlawful conduct.

An account or listing presents a security or safety risk.

Information provided is materially false or misleading.

Continued access would expose users or Price Am to significant harm.

We are required to act by law or a lawful regulatory direction.

Depending on the circumstances, action may include a warning, listing removal, feature restriction, temporary suspension, or account termination.

Where appropriate and lawful, we may provide an explanation or an opportunity to appeal.

Users may stop using Price Am at any time. Account closure does not remove obligations that arose before closure or information that must lawfully be retained.

15. Intellectual Property

The Price Am name, logo, branding, website design, software, original content, and other platform materials may be protected by intellectual property laws.

Except as permitted by law or expressly authorised by us, you must not copy, reproduce, modify, distribute, sell, or commercially exploit Price Am's protected materials without permission.

You retain ownership of content you lawfully own and submit to the Platform.

By submitting listing photographs, descriptions, or other content, you grant Price Am a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute that content as reasonably necessary to operate, promote, secure, and improve the marketplace.

This licence lasts for as long as reasonably necessary for those purposes, subject to your rights, applicable law, and our content-retention practices. It does not transfer ownership of your content to Price Am.

You confirm that you have the rights or permissions needed to submit the content and grant this licence.

We may remove content where we reasonably believe it infringes intellectual property rights or violates applicable law or our policies.

16. Privacy and Personal Information

Our handling of personal information is explained in the Price Am Privacy Policy.

By using the Platform, you acknowledge that personal information may be processed as described in that Policy and in accordance with applicable law.

You must not misuse personal information obtained through Price Am, including by engaging in unsolicited marketing, harassment, impersonation, or unlawful disclosure.

Users must respect the privacy and confidentiality of other users and comply with applicable data protection requirements.

17. Platform Availability and Changes

We aim to maintain a useful and reliable marketplace, but we do not guarantee that the Platform will always be available, uninterrupted, error-free, or compatible with every device.

Access may occasionally be affected by maintenance, technical problems, security incidents, service-provider interruptions, or circumstances beyond our reasonable control.

We may modify, add, restrict, or discontinue features where reasonably necessary for operational, commercial, security, or legal reasons.

Where appropriate, we will provide notice of material changes that significantly affect users, subject to applicable law.

18. Disclaimers

To the extent permitted by applicable law, Price Am provides the marketplace on an "as available" basis.

We do not guarantee that:

Every listing is accurate, genuine, or lawful.

Every seller or buyer is trustworthy.

A listed item will remain available.

A buyer and seller will successfully complete a transaction.

A product will meet a buyer's expectations.

A third-party website, payment provider, or delivery provider will perform as expected.

Users are responsible for evaluating listings, verifying important details, and deciding whether to proceed with a transaction.

Nothing in these Terms excludes any warranty, consumer protection, statutory right, or other legal responsibility that cannot lawfully be excluded or limited.

19. Limitation of Liability

To the extent permitted by applicable law, Price Am will not be liable for indirect or consequential losses arising from a user's independent transaction with another user, including losses resulting from misleading listings, non-payment, non-delivery, or disputes between buyers and sellers, where such losses are not attributable to a responsibility that the law imposes on Price Am.

We do not exclude or limit liability where doing so would be unlawful, including liability that cannot legally be excluded for our own conduct.

Nothing in these Terms prevents a user from exercising any mandatory legal rights or seeking remedies available under applicable law.

20. Indemnity

To the extent permitted by applicable law, you may be responsible for losses, claims, liabilities, or reasonable costs incurred by Price Am that arise directly from your unlawful conduct, fraud, material breach of these Terms, or infringement of another person's rights.

This provision does not require you to indemnify Price Am for losses caused by our own negligence, unlawful conduct, or other liability that cannot lawfully be transferred to you.

21. Third-Party Services and Links

Price Am may contain links to external websites, services, or tools operated by third parties.

We do not control all third-party services and are not responsible for their content, availability, terms, privacy practices, or security, except where applicable law provides otherwise.

Your use of an external service may be governed by separate terms and policies. You should review those documents before using the service.

22. Changes to These Terms

We may update these Terms to reflect changes to our services, business operations, security practices, or legal obligations.

The latest version will be published on Price Am with an updated revision date.

Where required by law, we will provide notice or obtain consent before implementing changes. Continued use of the Platform after changes take effect may constitute acceptance where permitted by applicable law.

If you do not agree with an updated version, you should discontinue use of the affected services.

23. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to applicable mandatory legal requirements.

If a dispute arises concerning the Platform, we encourage users to contact Price Am first so that the matter can be reviewed where appropriate.

Disputes between buyers and sellers should initially be addressed by the parties directly, where safe and reasonable. Price Am may assist with reports or policy enforcement but does not guarantee that it can resolve private transaction disputes or recover money.

Nothing in this section prevents a user from approaching a competent court, regulator, or other lawful dispute-resolution body.

24. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure by Price Am to enforce a provision immediately does not automatically waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms where doing so would be unlawful or require our consent and that consent has not been obtained.

These Terms, together with the applicable Price Am policies and any additional terms expressly agreed for particular services, govern your use of the Platform.
